To receive consider and adopt the audited Balance Sheet as at 31st March2015 and Statement of Profit & Loss of the Company for the year ended 31stMarch 2015 and the Reports of the Board and Auditors thereon.

To appoint a Director in place of Mr. Pawan Chadha (DIN: 00415795) who retires byrotation and being eligible offers himself for re-appointment.

To appoint M/s. Sushil Vipan & Co. Chartered Accountants (Firm Registration No.006127N) as Statutory Auditors of the Company and to fix their remuneration.

SPECIAL BUSINESS:

To consider and if thought fit to pass with or without modification(s) the followingresolution as an Ordinary Resolution:

“RESOLVED THAT pursuant to the provisions of Section 152 161 and any otherapplicable provisions of the Companies Act 2013 and any rules made thereunder Ms.ArpitaVerma who was appointed as an Additional Director of the Company by the Board ofDirectors w.e.f. 1st April 2015 and who holds office upto the date of thisAnnual General Meeting be and is hereby appointed as a Director of the company whoseperiod of office shall be liable to determination by retirement of director by rotation.

To consider and if thought fit to pass with or without modification(s) the followingresolution as an Ordinary Resolution: APPOINTMENT OF MS. ARPITA VERMA AS WHOLETIME DIRECTOR

“RESOLVED THAT pursuant to the provision of Section 196197 198 & 203read with Rule 8 of Companies(Appointment & Remuneration of Managerial Personnel)Rules 2014 Schedule V and all other applicable provisions of the Companies Act 2013(including any statutory modification(s) or re-enactment thereof for the time being inforce) and as recommended by the Nomination and Remuneration Committee approval ofshareholders be and is hereby accorded to the appointment of Ms. ArpitaVerma as A WholeTime Director of the Company with effect from 1stApril 2015 as per terms givenbelow:

Tenure: From 1stApril 2015 to 31st March 2018 Salary: Rs.150000/- per month Perquisites: Rs. 50000/- per month

However the benefits namely Gratuity Leave Encashment benefits Provident Fund etc.shall not be counted as perquisites to the extent these are exempted under the Income TaxAct 1961.

RESOLVED FURTHER THAT in the event of loss or inadequacy of profits minimumremuneration payable to Ms ArpitaVerma WTD shall be as per the provisions of Schedule Vof the Companies Act 2013.”

To consider and if thought fit to pass with or without modification(s) the followingresolution as a Special Resolution: Increase in Remuneration of Ms. ArpitaVermaWhole Time Director

“RESOLVED THAT pursuant to the provision of Section 197 & 198 read withRule 8 of Company (Appointment & Remuneration of Managerial Personnel) Rules2014Schedule V and all other applicable provisions of the Companies Act 2013 (includingany statutory modification(s) or re-enactment thereof for the time being in force) andas recommended by the Nomination and Remuneration Committee approval of shareholders beand is hereby accorded for the increase in remuneration of Ms. Arpita Verma Whole TimeDirector(WTD) of the Company with effect from 01.10.2015 as per the details given belowfor the rest of her tenure except otherwise revised by the company in accordance with theprovisions of law in this regard.

Salary: Rs. 300000/- per month Perquisites: Rs. 50000/- per month

However the benefits namely Gratuity Leave Encashment benefits Provident Fund etc.shall not be counted as perquisites to the extent these are exempted under the Income TaxAct 1961.

RESOLVED FURTHER THAT in the event of loss or inadequacy of profits minimumremuneration payable to Ms Arpita Verma WTD shall be as per the provisions of Schedule Vof the Companies Act 2013.”

To consider and if thought fit to pass with or without modification(s) the followingresolution as an Ordinary Resolution:

Re-appointment of Mr. Satish Kumar Verma as Managing Director

“RESOLVED THAT pursuant to the provisions of Section 196 197 198 203readwith Rule 8 of Company (Appointment & Remuneration of Managerial Personnel) Rules2014Schedule V and other applicable provisions if any of the Companies Act 2013or anyother statutory amendment or re-enactment thereof for the time being in force theappointment of Mr. Satish Kumar Verma as Managing Director (MD) of the Company w.e.f. 1stNovember 2014 on the following terms and conditions as made by the Board in its meetingheld on 01st December 2014 as per recommendation made by Nomination andRemuneration Committee be and is hereby confirmed approved and ratified;

Tenure: From 1st November 2014 to 31st October 2017 Salary: Rs.200000/- per month Perquisites: Rs. 50000/- per month

However the benefits namely Gratuity Leave Encashment benefits Provident Fund etc.shall not be counted as perquisites to the extent these are exempted under the Income TaxAct 1961.

RESOLVED FURTHER THAT in the event of loss or inadequacy of profitsminimumremuneration payable to Mr Satish Kumar Verma Managing Director shall be as per theprovisions of Schedule V of the Companies Act 2013.”

To consider and if thought fit to pass with or without modification(s) the followingresolution as a Special Resolution: Increase in Remuneration of Mr. Satish KumarVerma Managing Director

“RESOLVED THAT pursuant to the provision of Section 197 & 198 read withRule 8 of Companies (Appointment & Remuneration of Managerial Personnel) Rules 2014Schedule V and all other applicable provisions of the Companies Act 2013 (including anystatutory modification(s) or re-enactment thereof for the time being in force) and asrecommended by the Nomination and Remuneration Committee approval of shareholders be andis hereby accorded for the increase in remuneration of Mr. Satish Kumar Verma ManagingDirector of the Company with effect from 01.10.2015 as per the details given below forthe rest of her tenure except otherwise revised by the company in accordance with theprovisions of law in this regard:

Salary: Rs. 400000/- per month Perquisites: Rs. 50000/- per month

However the benefits namely Gratuity Leave Encashment benefits Provident Fund etc.shall not be counted as perquisites to the extent these are exempted under the Income TaxAct 1961.

RESOLVED FURTHER THAT :y of profits minimum remuneration payable to Mr. Satish

Verma Verma Chairman & Managing Director shall be as per the provisions ofSchedule V of the Companies Act 2013.”

“RESOLVED THAT pursuant to the provision of Section 197 & 198 read withRule 8 of Company (Appointment & Remuneration of Managerial Personnel) Rules 2014Schedule V and all other applicable provisions of the Companies Act 2013 (including anystatutory modification(s) or re-enactment thereof for the time being in force) and asrecommended by the Nomination and Remuneration Committee approval of shareholders be andis hereby accorded for the increase in remuneration of Mr. Pawan Chadha (Whole TimeDirector) of the Company with effect from 01.10.2015 as per the details given belowfor therest of his tenure except otherwise revised by the company in accordance with theprovisions of law in this regard:

Salary: Rs. 400000/- per month Perquisites: Rs. 50000/- per month
