Merck acquires three Kopran brands

Merck Specialities and its associates has acquired three leading brands of the Mumbai based Kopran Ltd and its technologies for a total valuation of Rs 20 crore. The brands in the deal include the Vent, Tini and Bid range of products.
 
The company has also agreed to provide technology know-how for the manufacture of formulations under these brands and also the design for an inhaler.
 
Merck Specialities, a subsidiary of Merck India, has bought over the brands for the local market and the products will continued to be manufactured in the Kopran plant for some time and gradually will be shifted to either third party manufacturers or to its own facilities.
 
Kopran, which has recently undergone a financial and business restructuring whereby it has projected to focus mainly in the international market and that too the regulatory markets like US, Europe, South Africa and Australia.
 
The brands sales in the domestic market is a part of the financial restructuring.
 
As part of the restructuring, the company had recently divested 14.8 per cent stake to Clear Water Capital Partners Ltd for a total realisation of Rs 90 crore.
 
Along with this, the promoters have also invested another Rs 22 crore as fresh equity.
 
The company is planning total financial revamp with an outlay of Rs 132 crore, which includes the realisation of Rs 20 crore brought in through the brand sales.
 
The company has undertaken a major expansion-cum-upgradation programme for its bulk and formulation facilities.
 
The expansion plan includes automation, expansion and upgradation of the sterile cephalosporin bulk with a capacity increase from 48 tonne to 144 tonne per annum.
 
Similarly, the formulation facility would be expanded to meet up with the with the increased contract manufacturing requirement for the international companies.
