Board of Axis Bank approves change in directorate

At meeting held on 19 January 2016

Axis Bank announced that the Board of Directors of the Bank at its meeting held on 19 January 2016, inter alia, transacted the following items of business:

1. Appointment of Ketaki Bhagwati as an Additional Independent Director of the Bank

The Board of Directors of the Bank have appointed Ketaki Bhiagwati as an Additional Independent Director of the Bank with effect from 19 January 2016 to hold office as such upto the date of the ensuing Annual General Meeting of the Bank, in terms of Sections 149, 152 and 161 of the Companies Act, 2013 read with Rules made there under and SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. Ketaki Bhagwati is not liable to retire by rotation.

2. Appointment of B. Babu Rao as an Additional Non-Executive Director of the Bank

The Board of Directors of the Bank have appointed B. Babu Rao as an Additional Non-Executive Director (Nominee of SUUTI) of the Bonk with effect from 19 January 2016 to hold office as such upto the date of the ensuing Annual General Meeting of the Bank, in terms of Section 152 and 161 of the Companies Act, 2013 read with Rules made thereunder and SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. B. Babu Rao is liable to retire by rotation.

Further, the said directors are not related to any other member of the Board of Directors of the Bank.
