Board of Hisar Metal Industries approves bonus issue

At meeting held on 24 June 2016

Hisar Metal Industries announced that the Board of Directors of the Company at its meeting held on 24 June 2016 has recommended the following for the approvals of the Members at the ensuing Annual General Meeting through e-voting and ballot:

1. Issue of Bonus shares in the proportion of 1 (one) equity share for every 2 (two) existing equity shares; the said Bonus shares, if approved by the Members, will be credited or share certificates in respect thereof will be dispatched, where shares are held in the demeterlised form and in the physical form, respectively, by 22 August 2016.

2. Increase in the authorized share capital of the Company from Rs. 5,00,00,000 (Rupees five crore only) divided into 50,00,000 (fifty lakh only) equity shares of Rs. 10 (Rupees ten only) each to Rs. 6,00,00,000 (Rupees six crore only) divided into 60,00,000 (sixty lakh only) equity shares of Rs. 10 (Rupees ten only) each.

3. Consequential amendment in the existing Clause V of the Memorandum of Association of the Company.

4. Adoption of new set of Articles of Association of the Company.

5. Modification in Memorandum of Association to delete the Other Objects Clause from the Memorandum of Association of the Company.
