At meeting held on 28 May 2015

Vishal Fabrics announced that the Board of Directors of the Company at its meeting held on 28 May 2015, inter alia, has considered and approved the following businesses:

1. Appointment of Shubhankar Jha as an Additional Director w.e.f. 28 May 2015 in the category of lndependent Director.

2. Acceptance of the resignation letter tendered by Gautam Gandhi as a Director of the Company due to personal reasons.
