Grindwell Norton announces change in directorate

Grindwell Norton announced that Guillaume Texier, Director and Benoit d'Iribarne, Alternate Director to Marie-Armelle Chupin has resigned from the Board of Directors (Board) of the Company, consequent to the re-organisation of their responsibilities within the Saint-Gobain group. The Board of Directors of the Company at its meeting held on 02 February 2016, has accepted their resignations.

Based on the recommendation of Nomination and Remuneration Committee, the Board at its meeting held on 02 February 2016 has re-appointed Anand Mahajan as the Managing Director of the Company for a period of five years with effect from 01 April 2016, subject to the approval of the Members at the ensuing General Meeting of the Company.

Based on the recommendation of Nomination and Remuneration Committee, the Board at its meeting held on 02 February 2016, appointed Laurent Guillot as an Additional Director of the Company. Pursuant to sub-section (1) of Section 161 of the Companies Act, 2013, Laurent Guillot will hold office upto the ensuing Annual General Meeting of the Company.
