Initial public offer of upto 49,80,000 equity shares of face value of Rs. 10/- each (Equity Shares) of SMR Jewels Limited (the Company or SMR Jewels or Issuer) at an offer price of Rs. 128-135 per equity share (including a share premium of Rs. 118-125 per equity share) for cash, aggregating upto Rs. 63.74-67.23 Crores (public offer) comprising a fresh issue of upto 40,00,000 equity shares aggregating to Rs. 51.2-54 Crores (the fresh issue) and an offer for sale of upto 3,50,000 equity shares by Parul Manoj Soni, upto 3,50,000 equity shares by Dipikaben Virendra Soni, upto 1,40,000 equity shares by Vismay Manojkumar Soni; upto 50,000 equity shares by Drashti Pal Modi, upto 30,000 equity shares by Bhanumati Ramanlal Parekh, upto 30,000 equity shares by Soni Mitul Virendra and upto 30,000 equity shares by Soni Niharika Vismay (the selling shareholders) aggregating upto 9,80,000 equity shares by the selling shareholders (offer for sale) aggregating to Rs. 12.54-13.23 Crores out of which 2,49,000 equity shares of face value of Rs. 10/- each, at an offer price of Rs. 128-135 per equity share for cash, aggregating Rs. 3.19-3.36 Crores will be reserved for subscription by the market maker to the offer (the market maker reservation portion). The public offer less market maker reservation portion i.e. Offer of 47,31,000 equity shares of face value of Rs. 10/- each, at an offer price of Rs. 128-135 per equity share for cash, aggregating upto Rs. 60.56-63.87 Crores is hereinafter referred to as the net offer. The public offer and net offer will constitute 26.70% and 25.36% respectively of the post-offer paid-up equity share capital of the company.Price Band: Rs. 128.00 to Rs. 135.00 per equity share of face value of Rs. 10.00 each.The floor price is 12.8 times the face value of the equity shares and the cap price is 13.5 times the face value of the equity shares. Bids can be made for a minimum of 2 lots of 1,000 equity shares and in multiples of 1,000 equity shares thereafter.

Objective of issue

Capital expenditure requirements towards Construction of Jewellery Studio. Repayment/prepayment of all or certain of the company borrowings availed of by its Company. Long Term Working capital requirement. General Corporate Purpose.
