Board of Sylph Technologies approves change in directorate

At meeting held on 01 July 2015

Sylph Technologies announced that the Board of Directors of the Company at its meeting held on 01 July 2015, has taken the following decisions:

The Board has received resignation from Director, Kamal Kumar Bhandari. The Board has accepted the resignation with immediate effect from July 01, 2015. The Board places on record its appreciation for the assistance and guidance provided by Kamal Kumar Bhandari during his tenure as Director of the Company.

Pursuant to Clause 49 of the Listing Agreement Devendar M Chelawat has been appointed as Independent Director of the Company with immediate effect and appointment is made in accordance with provision of section 149 and any other applicable provision of companies act 2013.

Due to changes in Board of directors the composition of committee are also changed. Kamal Kumar Bhandari is replaced by Devendar M Chelawat.
