Outcome of board meeting of Freshtrop Fruits

Freshtrop Fruits announced that the Board of Directors of the Company at its meeting held on 29 May 2015, inter alia, has transacted the following business:

1. The Board recommended a dividend of Rs. 1 per share (10%) on the equity shares of the face value of Rs. 10 each for the financial year ended 31 March 2015, subject to approval of the members of the Company at the ensuing Annual General Meeting.

2. Approved the appointment of Nanita Motiani as a Whole Time Director for a period of three years w.e.f. 29 May 2015 subject to approval of members at the ensuing Annual General Meeting and such other approvals as may be required.

3. Review and approved the Related Party Transaction Policy.

4. Review and approved the Code of Conduct for preventing of Insider Trading.

5. Review and approved the Code of practice and procedures for Fair Disclosure of Unpublished Price Sensitive Information.

6. Approved the appointment of M/s R. S. Sharma & Associates, Company Secretaries as Secretarial Auditors of the Company in pursuance of the provisions of Section 204 of the Companies Act, 2013.

7. Recommendation of ratification of appointment of M/s. Mayank Shah & Associates, Chartered Accountants, as Statutory Auditors of the company for the FY 2015-16.
