Outcome of board meeting of Mackinnon Mackenzie & Company

Mackinnon Mackenzie & Company announced that the Board of Directors of the Company at its meeting held on 20 August 2015, inter alia has transact the following:

1. Acceptance of Appointment of Anuja Paranjape, as an Additional Women Director w.e.f. 20 August 2015.

2. Recommended to Members Ratification of Appointment of Statutory Auditors for FY 2016-17.

3. Constituted various Committees of Board of Directors i.e. Audit Committee, Remuneration and Nomination Committee and Stakeholders Committee.

4. Recommended appointment of Sampat Borate, as an Independent Director of the Company, subject to approval of Members in ensuing AGM.

5. Recommended appointment of Capt. Narendra B. Jamnerkar, as an Independent Director of the Company, subject to approval of Members in ensuing AGM.

6. Recommended appointment of Abbas Lakdawalla, as an Independent Director of the Company, subject to approval of Members in ensuing AGM.

6. Recommended to the Shareholders to approve and make the Face Value of the Equity Shares of Rs. 10/- from existing Re. 1/- by consolidation of 10 Equity Shares of Re. 1/- into 1 Equity Share of Rs. 10/- each and consequential Alteration of Memorandum of Association and Article of Association of the Company, subject to approval of Members in ensuing AGM.

7. Recommended appointment of Anuja Paranjape, as an Independent Director of the Company, subject to approval of Members in ensuing AGM.
