Initial public issue of 42,54,000 equity shares of face value of Rs. 10/- each of Value 360 Communications Limited (Formerly known as Value 360 Communications Private Limited), (Value360 or the Company or the Issuer) for cash at a price of Rs. 98 per equity share including a share premium of Rs. 88 per equity share (the Issue Price) aggregating to Rs. 41.69 Crores (the Issue), of which 2,13,600 equity shares of face value of Rs. 10 each for cash at a price of Rs. 98 per equity share including a share Premium of Rs. 88 per equity share aggregating to Rs.2.09 Crores will be reserved for subscription by market maker to the issue (the Market Maker Reservation Portion). The issue less the market maker Reservation Portion i.e. Net issue of 40,40,400 equity shares of face value of Rs. 10 each at a price of Rs. 98 per equity share including a share premium of Rs. 88 per equity share aggregating to Rs. 39.60 Crores is hereinafter referred to as the Net Issue. The issue and the net issue will constitute 26.44% and 25.11%, respectively, of the post issue paid up equity share capital of the company.Price Band: Rs. 98/- per equity share of face value Rs. 10/- each.The floor price is 9.8 times the face value of the equity. Bids can be made for a minimum of 1200 equity shares and in multiples of 1200 equity shares thereafter.

Objective of issue

Funding the working capital requirements towards enabling the strategic growth initiatives of the company and its subsidiaries. Funding the capital expenditure towards infrastructure and cutting-edge technology for expansion into content production verticals. Prepayment or repayment of all or a portion of certain outstanding borrowings availed by our Company.. Investment in influencer marketing platform, Irida Interactive Private Limited (ClanConnect) and expanding ownership to fulfil potential acquisition in the near future.. General corporate purposes.
