Veto Switchgears Announcement

Certificate under Regulation 74(5) of the SEBI (Depositories and Participants ) Regulations 2018 for the Quarter ended 31st December 2025.

Pursuant to the Securities and Exchange Board of India (Prohibition of Insider Trading) Regulations2015 and in terms of the provisions of the Code of Conduct for trading in Listed Securities of Veto Switchgears and Cable Limited the Trading Window for dealing in the securities of the Company will be closed for all Designated Persons their immediate relatives and all connected persons from Thursday January 1st 2026 till 48 hours after the conclusion of Board Meeting in which unaudited financials results for the third quarter ending 31st december2025 shall be considered/approved.

In compliance with the provisions of Regulation 47 of SEBI (LODR) Regulations2015 read with corresponding circulars and notifications issued thereunder we are pleased to enclose copies of Business Standard & Mumbai Lakshadweep editions of both dated 15th September 2025 in which unaudited Financials for the Second Quarter ended September 30th 2025 have been published. The aforesaid results have been approved by the Board of Directors in its meeting held on 14.11.2025.

Outcome of Board Meeting

Pursuant to the provisions of Regulation 30 and Regulation 33 of SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 read with corresponding circulars and notifications issued thereunder we enclose herewith a extracts of the Unaudited Standalone and Consolidated Financial Results for the Second Quarter ended 30th September 2025 of the company and a copy of press release being released in regard. The said results are approved by the board of directors of the company at its meeting held today i.e. on Friday 14th November 2025 at Jaipur which commenced at 3:00 PM and concluded at 6:20 P.M.
