We refer to our letter dated November 20 2025 informing the Stock Exchange about the dispatch of the Postal Ballot Notice for seeking the approval of members of the Company now we hereby submit the Voting Results as required under Regulation 44(3) of SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 and the Scrutinizers Report issued by Mr. Vijay Kumar Mishra Partner of M/s. VKM & Associates dated December 20 2025. Kindly take the same on your record.

This is furtherance to the previous intimation dated November 4 2025 we would like to inform that the Company has executed a Share Purchase Agreement (SPA)on Friday December 19 2025 to acquire 100% Equity shareholding of John Cockerill Metal International SA Belgium from John Cockerill SA the parent Company subject to approval of members of the Company and other terms and conditions as set out in SPA.

We would like to inform that the Board of Directors in their meeting held on Today December 19 2025 has considered and approved the appointment of Ms. Nidhi Narayan Salampuria (ICSI M. No. F10448) as Company Secretary (Key Managerial Personnel) & Compliance Officer of John Cockerill India Limited the Company w.e.f. December 19 2025.

We would like to inform that the Board of Directors in their meeting held on December 19 2025 has considered and approved the appointment of Ms. Nidhi Narayan Salampuria (ICSI M. No. F10448) as Company Secretary (Key Managerial Personnel) and Compliance Officer of John Cockerill India Limited (the Company) w.e.f. December 19 2025.
