In compliance with Regulation 74(5) of SEBI (Depositories and Participants) Regulations 2018 Please find enclosed herewith the Certificate received from MUFG Intime India Private Limited (Formerly Known as Link Intime India Pvt. Ltd.) Registrar & Share Transfer Agent (RTA) of the Company for the quarter ended December 31st 2025.

Pursuant to the provisions of Securities and Exchange Board of India (Prohibition of Insider Trading) Regulations 2015 as amended from time to time and Companys Code of Conduct for Prevention of Insider Trading we wish to inform you that trading window for dealing in securities of the Company by all the Designated Persons and their immediate relatives will be closed from Thursday January 01st 2026 till 48 hours after the declaration of Unaudited Financial Results of the Company for the quarter and nine months ended on December 31st 2025.

Outcome of the Fund-raising Committee Meeting of the Board of Directors held on December 11 2025

With reference to your mail dated November 24 2025 regarding clarification on significant increase in the volume of security of the company across Exchanges we hereby submit that the company has always disclosed to the stock exchange all the material information which has a bearing on the operations/ performance of the company including all necessary disclosures in accordance with Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 (the Listing Regulations) within the stipulated time.We hereby further submit that we are not aware of the reason of movement in the security of the company in the recent past. The movement in the security is purely market driven and may be combination of various factors including market conditions.We would like to reiterate that the Company has always and will continue to adhere to the compliances required under the Listing Regulations and other applicable laws.

The Exchange has sought clarification from Motisons Jewellers Ltd on November 24 2025 with reference to Movement in Volume.<BR><BR>The reply is awaited.
