Intimation Regarding Execution Of Business Transfer Agreement With Mukand Heavy Engineering Limited Wholly Owned Subsidiary Of Mukand Limited For Transfer Of Part Of Industrial Machinery Business Via Slump Sale

With reference to our letter dated May 16 2025 and pursuant to Regu. 30 read with Schedule III Part A of SEBI (LODR) Regulations we wish to inform that Mukand Ltd. (the Company) and Mukand Heavy Engineering Ltd. (MHEL or Transferee Company) a wholly owned subsidiary of the Company has executed a Business Transfer Agreement (BTA) on October 18 2025 for transfer of part of Industrial Machinery Business (Transferred Business) from the Company to MHEL via Slump Sale on a going concern basis on such terms and conditions as mentioned in the BTA.
