Vascon Engineers announced that the Board of Directors of the Company at its meeting held on 11 August 2015, inter alia, have discussed and approved the following:1. The Board of Directors have recommended to the members of the Company, to approve grant of 64,00,000 (Sixty Four Lacs) stock options to the eligible employees of the Company as per the terms and conditions specified in Employees Stock Options Scheme, 2015 ('ESOS, 2015').
2. The Board of Directors have approved purchase of shares of Sunflower Real Estate Developers ('Sunflower') for a consideration of Rs. 1 crore, making Sunflower a subsidiary company of Vascon Engineers.
3. The Board of Directors of the Company have approved the New Set of Articles of Association of the Company, and the same shall be placed before the Members of the Company, for their approval, in the forthcoming Annual General Meeting of the Company.
4. Subject to other requisite approvals, the Board of Directors of the Company have approved Change in place and address of Registered Office and Corporate Office of the Company.
