At meeting held on 19 July 2014
Kirloskar Brothers Investments announced that the Board of Directors of the Company at its meeting held on 19 July 2014, inter alia, has transacted the following:1. Pursuant to Clause 30 of the Listing Agreement:
a. Amarshekhar Bhonagiri and A. R. Sathe, Directors of the Company have tendered their resignations with effect from 19 July 2014.
2. Based on the recommendations of the Nomination and Remuneration Committee, Mr. Sunil Shah Singh, Mr. Vijay Bajhal and Mrs. Savita Sahasrabudhe have been co-opted as Additional Independent Directors of the Company with effect from 19 July 2014.
3. Based on the recommendations of the Nomination and Remuneration Committee and pursuant to the provisions of Section 203 and other applicable provisions and rules of the Companies Act, 2013, the Board of Directors of the Company has approved the appointment of the following as the Whole time Key Managerial Personnel of the Company with effect from 19 July 2014.
a. Anil C. Kulkarni, Executive Director
b. Aniket Deshpande, Company Secretary.
