Outcome of board meeting of Asia Pack

Asia Pack announced that the Board of Directors of the Company at its meeting held on 28 August 2014, inter alia, has transacted the following :

1. The Board has proposed M/s. Jain Nilesh and Company appointed as Statutory Auditors of the Company in place of M/s. Manish Dani & Co., who put his resignation at the forthcoming Annual General Meeting.

2. Regularisation of Kulbir Singh Pasricha as an Independent Director for five consecutive years as Independent Director of the Company this Annual General Meeting to 34th Annual General Meeting subject to approval of Shareholder.

3. Regularisation of Sunil Upadhayay as an Independent Director for five consecutive years as Independent Director of the Company at this Annual General Meeting to 34th Annual General Meeting subject to approval of Shareholder.

4. Increasing Borrowing Powers of the Company subject to approval of Shareholders of the Company at this forthcoming Annual General Meeting.

5. Increase in Loan and Investment powers of the Company Subject to approval of Shareholders at the forthcoming Annual General Meeting.

6. Appointment of Nilesh Jain, Practicing Chartered Accountant, for conducting the Postal Ballot and e-voting process in a fair and transparent manner.
