Outcome of board meeting of HOV Services

Held ob 19 December 2014

HOV Services announced that the Board of Directors of the Company at its meeting held on 19 December 2014, had considered and approved the following:

1. Appointment of Bhuvanesh Sharma as VP-Corporate Affairs & Company Secretary and Compliance officer of the Company effective 01 January 2015; and

2. Allotment of 11,500 equity shares of Rs. 10/- each pursuant to the ESOP Plan 2007. Consequent to the said allotment, the paid up share capital of the Company has gone up from 12,502,522 equity shares of Rs. 10/- each aggregating to Rs. 125,025,220/- to 12,514,022 equity shares of Rs. 10/- each aggregating to Rs. 125,140,220/-.
