Shree Rani Sati Investment And Finance announced that the Board of Directors of the Company at its meeting held on 23 January 2015, inter alia, has considered & taken on record the following:

1. Considered and approved Requisition Letter dated 14 January 2015 of Vijaykumar Mahabirpradas Jatia ('Promoter'/'Acquirer'), belonging to Promoter and Promoter Group of the Company for Delisting of Shares of the Company.

2. Appointment of Mark Corporate Advisors as Merchant Bankers under Reg. 27(3)(a) of Securities and Exchange Board of India (Delisting of Equity Shares) Regulations, 2009 for Delisting of Shares of the Company and as amended.

3. Appointment of M. L. Sharma & Co, Chartered Accountants as Independent Valuer for the Delisting Offer under Securities and Exchange Board of India (Delisting of Equity Shares) Regulations, 2009 and as amended for Delisting of Shares of the Company.

4. Appointment of Satellite Corporate Services as the Registrar and Share Transfer Agent of the Company.
