Bharat Forge announced that a Scheme of Amalgamation under Sections 391 to 394 of the Indian Companies Act, 1956 amongst
- BF Infrastructure Ventures (Transferor Company) a wholly owned subsidiary Company of Bharat Forge ;
and
- BF Infrastructure (Transferee Company) a wholly owned subsidiary Company of Bharat Forge ;
and
- their respective Shareholders and Creditors
has been filed in the Hon'ble High Court of Bombay.
The Appointed date as proposed under the scheme is 01 April 2015.
Once the Scheme is sanctioned by the Hon'ble High Court of Bombay and it becomes effective, BF Infrastructure Ventures (Transferor Company) shall stand dissolved without being wound up and amalgamated into BF Infrastructure (Transferee Company) a wholly owned subsidiary Company of Bharat Forge.
