Pursuant to scheme of amalgamation
The Board of Bayer CropScience have issued and allotted 106,08,499 equity shares (New Securities) of the face value of Rs 10/ - (Rupees Ten only) each, fully paid-up to the members of Monsanto India, as on record date of 30 September 2019 as per the share exchange ratio of the scheme of amalgamation of Monsanto India with Bayer CropScience.Consequent to the said allotment of New Securities, the paid-up share capital of the Company has changed from 34,333,593 equity shares of Rs 10/- each, amounting to Rs 343,335,930 to Rs 44,942,092 equity shares of Rs 10/ each amounting to Rs 449,420,920.
