Board of Berger Paints India recommends bonus issue of 2:5

At meeting held on 30 May 2016

Berger Paints India announced that the Board of Directors of the Company at its meeting held on 30 May 2016, inter alia, has recommended the following for the approval of the Members through Postal ballot and e-voting:

1. Issue of Bonus Shares in the proportion of 2 (Two) Bonus Shares of Re. 1/- (Rupee One) each for every existing 5 (Five) fully paid-up Ordinary Shares of Re. 1/- (Rupee One) each; the said Bonus Shares, if approved by the Members, will be credited or share certificates in respect thereof will be despatched, where shares are held in the dematerialized form and in the physical form, respectively, by 29 July 2016.

2. Increase in Authorised Share Capital of the Company from Rs. 75,00,00,000/- (Rupees Seventy-five Crores) divided into 75,00,00,000 (Seventy-five Crores) Ordinary Shares of Re.1/- each to Rs.110,00.00,000/- (Rupees One Hundred Ten Crores) divided into 110,00,00.000 (One Hundred Ten Crores) Ordinary Shares of Re.1/- each

3. Consequential amendment to Clause 5 of the Memorandum of Association and Article 3 of the Articles of Association of the Company to reflect the increased Authorised Share Capital of the Company.
