The Board of Morepen Laboratories at its meeting held on 19 September 2019 has approved the following -Increase in Authorized Share Capital of the Company from Rs. 210,00,00,000/- (Rupees Two Hundred Ten Crores Only) divided into 45,00,00,000 (Forty-Five Crore) Equity Shares of Rs. 2/- (Rupees Two Only) each and 1,20,00,000 (One Crore Twenty Lakh) Preference Shares of Rs. 100/- (Rupees One Hundred Only) each toRs. 230,00,00,000/- (Rupees Two Hundred Thirty Crore Only) divided into 55,00,00,000 (Fifty-Five Crore) Equity Shares of Rs. 2/- (Rupees Two Only) each and 1,20,00,000 (One Crore Twenty Lakh) Preference Shares of Rs. 100/- (Rupees One Hundred Only) each by creation of additional 10,00,00,000 (Ten Crore) Equity Shares of Rs. 2/- (Rupees Two Only) each.
To issue and allot in aggregate up to 3,70,00,000 Warrants for an aggregate amount of up-to Rs. 74,00,00,000/- (Rupees Seventy-Four Crore Only), convertible into 3,70,00,000 Equity Shares of Rs. 2/- (Rupees Two Only) each, at a price not less than the price determined in accordance with the provisions of the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations 2018 ('ICDR Regulations') to promoter group entity(ies) on a preferential basis.
