Board of Polygenta Technologies takes note of proposal for delisting of shares

At meeting held on 10 October 2019

The Board of Polygenta Technologies at its meeting held on 10 October 2019 has taken on record the a proposal from Perpetual Global Technologies, Promoter of the Company ('Acquirer'/ 'Promoter') to voluntarily delist the Company's equity shares from the stock exchanges.

The Board further noted that in terms of Regulation 8(1)(A) of the Delisting Regulations proposal of delisting is required to be approved by the Board after taking into account the diligence report from a SEBI registered merchant banker.

Appointed Keynote Financial Services as Merchant Bankers to conduct due diligence and submit report in accordance with sub regulation (1A)(ii), (1D) and (1E) of Regulation 8 of Delisting Regulations. The Board resolved to furnish the requisite information to the Merchant Bankers for the purpose of undertaking the due diligence in accordance with the Delisting Regulations.

After receipt of the due diligence report from the Merchant Banker, the Board will meet again to discuss the Delisting Proposal in detail.
