The Board of Swastika Investmart at its meeting held on 25 July 2019 has approved a scheme of amalgamation for the merger of its wholly owned subsidiary Company Swastika Commodities ('Transferor Company) into and with Swastika Investmart ('Transferee Company').Furthermore, it is also to be noted that the proposed Scheme provides for the amendment of the Capital and Object Clauses of the Memorandum of Association of Transferee Company consequent to the merger and amalgamation of the Transferor Company into and with the Transferee Company, with effect from the Appointed Date and upon the Scheme becoming effective.
The Scheme is subject to necessary statutory and regulatory approvals under applicable laws, including approval of the Hon'ble National Company Law Tribunal, Principal Bench,Mumbai.
