Outcome of board meeting of Neelkanth Rockminerals

Held on 10 August 2015

Neelkanth Rockminerals announced that the Board of Directors of the Company at its meeting held on 10 August 2015, inter alia, has considered and approved the following:

1. Postal Ballot Notice as per Section 110 of the Companies Act, 2013 and other applicable provisions, if any, of the Companies Act, 2013 (the Act) read with the Companies (Management and Administration) Rules, 2014 as required to be sent to the Shareholders of the Company for:

(i) Sale of its undertaking/ unit pursuant to Section 180 (1) (a) of the Companies Act, 2013 and

(ii) Replacement of Main Object Clause III(A) (2) of Memorandum of Association of the Company pursuant to Section 13 of the Companies Act, 2013 since the Company is entering into the Construction, Realty and Infrastructure Development business.

2. The Board of the Directors at their meeting held on 10 July 2015 had unanimously decided to issue 27,00,000 Convertible Warrants to Promoter & Promoter Group of the Company. However, the Board of the Directors have decided to withdraw the Preferential issue of 27,00,000 Convertible warrants.

3. M/s. S. S. Risbud & Co., Company Secretaries are appointed as the Scrutinizer for conducting Postal Ballot process and E- voting process for ensuing Annual General Meeting.
