Sneha Singh (20), an M.Com student of T D College, was going for tuition classes in the auto-rickshaw.
When it reached Jalalpur area on the Jaunpur-Varanasi highway, the two men with their faces covered with cloths tried to snatch Sneha's mobile phone, police said.
Sneha, while resisting their bid, fell off the auto and suffered head injuries.
She was rushed to a hospital, where she died, they said.
No arrest has been made in the case yet, police added.
