Saurashtra Cem. Announcement

The Allotment Committee of the Board of Directors of the Company at its meeting held today i.e 16th January 2026 had approved issued and allotted 34123 equity shares of face value of Rs.10/- each fully paid up to the eligible employees of the Company on the exercise by them of stock options granted and vested under Saurashtra Employee Stock Option Scheme 2017 (ESOP Scheme) ( ESOP Scheme Scheme was first amended on 22nd April 2024)

Please find attached certificate under Regulation 74(5) of SEBI (DP) Regulations 2018 for the quarter ended 31st December 2025 received from the RTA MUFG Intime India Private Limited.

Pursuant to SEBI (Prohibition of Insider Trading) Regulations 2015 as amended from time to time and pursuant to Companys Code of Conduct for Prohibition of Insider Trading the Trading Window for trading in equity shares of the Company by the Designated Persons and their immediate relatives will remain closed with effect from Thursday 1st January 2026 up to 48 hours after the date of declaration of the Unaudited Financial Results for the third quarter and nine months ended 31st December 2026.

Pursuant to Regulation 47 (1) Regulation 30 read with para A Part A of Schedule III of SEBI (LODR) please find attached herewith copies of the Newspaper Advertisement published regarding extract of the Unaudited Financial Results for Second Quarter and Half Year ended 30th September 2025 in the Financial Express Mumbai Ahmedabad Edition English and Jain Hind Rajkot Edition Gujarati.
