Shardul Amarchand Mangaldas & Co (SAM & Co.) advised JM Financial Products on its investment in Vendiman Private Limited. Vendiman provides vending solutions for packaged food and beverages through unmanned / automated vending machines across India.
The Merger and Acquisition Group of SAM & Co.'s General Corporate Practice acted as counsel to the investor and assisted with preparation and negotiation of the transaction documents and closure of the transaction. The transaction team was led by Vishruta Kaul, Partner who was assisted by Pratyush Singh, Senior Associate, Sonali Bhardwaj, Associate and Manu Gupta, Associate.
As a part of the transaction, the JM Financial Products will hold a stake of nearly 41 percent in Vendiman Private Limited in two tranches.
The parties involved in the transaction were JM Financial Products Limited (Investor); Vendiman Private Limited (Target) and its promoters and other shareholders.
Other advisors to the transaction were Veritas Legal (Promoters' and Company counsel).
The deal was signed on September 1, 2017 and the first closing occurred on September 14, 2017.
