Board of Jagran Prakashan approves composite scheme of arrangement
At meeting held on 09 October 2015
Jagran Prakashan announced that the Board of Directors of the Company at its meeting held on 09 October 2015 has approved composite Scheme of Arrangement for:a. the amalgamation of Crystal Sound & Music (Crystal" or Transferor Company 1) and Spectrum Broadcast Holdings, earlier known as IVFH Holdings (Spectrum or Transferor Company 2'') with Jagran Prakashan (JPL'" or Amalgamated Company), and
b) the demerger of Radio Business Undertaking of Shri. Puran Multimedia (SPML or Demerged Company'") into Music Broadcast (MBL" or Resulting Company).
The Scheme of Arrangement is subject to the approval of shareholders, creditors and other regulatory authorities.
