TCFC Finance announced that the Board of Directors of the Company at its meeting held on 27 May 2015, inter alia, has considered the following business matters:1. Acceptance of Resignation tendered by M/s. MGB & Co. LLP, Chartered Accountants, Statutory Auditors of the Company vide their email received by Company dated 15 May 2015 & their Letter of resignation dated 20 February 2015 and E-Form ADT-3 i.e. Notice of resignation has been filed with the Ministry of Corporate affairs.
2. Appointment of M/s. GMJ & Co, Chartered Accountants as Statutory Auditors of the Company to fill the casual vacancy caused by the resignation of MGB & Co. LLP, Chartered Accountants., and their appointment is subject to approval of members in the ensuing Annual General Meeting of the Company.
3. Formulated and adopted the following in accordance with the SEBI (Prohibition of Insider Trading) Regulations, 2015:
- Code of Practices and Procedures for Fair Disclosure of Unpublished Price Sensitive Information (UPSI) as per Regulation 8(1) of SEBI (Prohibition of Insider Trading) Regulations, 2015.
- Code of Conduct as per Regulation 9(1) of SEBI (Prohibition of Insider Trading) Regulations, 2015.
