Texmaco Rail & Engineering announced that, in respect of issue of Equity Shares to Qualified Institutional Buyers pursuant to the QIP, the Committee of the Directors of the Company has, as its meeting held on 18 November 2014, pursuant to the board and shareholder resolutions dated 21 July 2014 and 04 September 2014, respectively, passed the following resolutions in connection with the following:1. Authorising the opening of the Issue from 18 November 2014.
2. Approving and adopting the preliminary placement document dated 18 November 2014.
3. The relevant date for the purpose of this Issue in terms of Regulation 81 (c) (i) of the SEBI ICDR Regulations is 18 November 2014 and accordingly the floor price in respect of the aforesaid Issue, based on the pricing formula as prescribed in under Regulation 85 (1) of the SEBI ICDR Regulations is Rs. 106.80 per Equity Share (the "Floor Price").
