Dear SirAs per Regulation 23(9) of SEBI LODR every listed company shall submit disclosures of related party transactions every six months on the date of publication of its standalone financial results with effect from 1st April 2023.Further as per Regulation 15(2) of SEBI LODR Regulation 23(9) of the SEBI LODR is not applicable to the Company as the paid up equity share capital and net worth of the Company does not exceed Rs. 10 Crores and 25 Crores respectively as on 31st March 2022. Accordingly the Company is not required to submit disclosure of the related party transactions for the half year ended 31st March 2023 as per Regulation 23(9) of SEBI LODR.We further submit that as and when the aforesaid Regulation 23(9) of SEBI LODR becomes applicable to the Company at a later date we shall ensure compliance within six months from the date of applicability in accordance with first proviso to Regulation 15(2)(a) of SEBI LODR.This is for your information & records.
