Board of Super Tannery approves demerger of Goat Tannery division

At meeting held on 16 June 2015

Super Tannery announced that the Board of Directors of the Company at its meeting held on 16 June 2015, has in principle discussed the proposal of demerger of Goat Tannery division of the Company to another entity Amin Tannery ("ATL), an unlisted public company incorporated under the Companies Act, 1956 and having its registered office at 7/94-J, Tilak Nagar, Kanpur 208002.

The Company authorizes Iftikharul Amin, the Managing Director of the Company; Mohd Imran, the Director of the Company; and R.K. Awasthi, the Company Secretary of the Company be and are hereby severally authorised for taking necessary steps as may be required for any matters relating to the proposed demerger including review of implications of laws, and for engaging and/or appointing of additional consultants, advisors, valuers (if required) other than the persons appointed hereinabove for matters relating to the proposed demerger and any other related matter and to fix their remuneration and other terms of appointment, including grant of power of attorney etc. as may be required and, to do all other acts, deeds and things which are incidental and ancillary to give effect to this resolution.
