Outcome of board meeting of Dhanada Corporation

Held on 12 June 2015

Dhanada Corporation announced that the Board of Directors of the Company at its meeting held on 12 June 2015 inter alia, has transacted the following;

1. The Board decided to postpone the issue of Equity shares to Dhanada Holdings, Promoter Company, on preferential basis.

2. The Board approved an issue upto 1,80,00,000 Equity shares of Re. 1/- each to Visconti Industries Inc., USA, on preferential basis, at Rs. 60/- or at a price computed under regulation 76(1) of the SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2009, whichever is higher, subject to the applicable provisions of the Companies Act, 2013, SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2009, Listing Agreement and the provisions of other applicable laws.

3. The Board approved draft Notice of Postal Ballot.

4. The Board appointed R. V. Pore, Practicing Company Secretary as Scrutinizer to conduct the postal ballot process in accordance with the law and in a fair and transparent manner and for scrutinizing the ballot voting and remote / electronic voting process in a fair and transparent manner.
