Outcome of board meeting of Dr.Datsons Labs

Dr.Datsons Labs announced that the Board of Directors of the Company at its meeting held on 15 December 2014, has transacted the following:

1. Taken on record The Letter of Intent for Investment in the company received from Leaders Group Asia.

2. Dr. Datsons Labs is an research based pharmaceutical company based in India have a wide variety of Bulk drugs & generic formulations supplies both to domestic & export markets.

3. Leaders Group Asia Limited is a funding institution based out of Hong Kong, They have investments & business interests in varied segments. They intend to invest in Dr. Datsons subject to Due Diligence & other approvals as it aligns with their Interests and supplies of products to many countries in Africa and South America.

4. Authorised Dr Rajendra Kamat (Chairman) and Dr Kannan Vishwanath (Managing Director) to meet with the management of Leaders Group Asia in Hong Kong and finalize the terms and conditions and magnitude of investment, as the investor has proposed to take a majority stake subject to regulatory and statutory guidelines.

5. Authorised Dr. Rajendra Kamat and Dr. Kannan Vishwanath to do all such acts, deed, documents appoint a certified valuer appointment of merchant bankers, structure the demerger of the company into Bulk Drugs entity & formulations entity & advisors, etc. to take the deal forward and to do all deeds to carry on merger, demerger, restructuring etc. as may be required by the investors.
