Outcome of board meeting of Granules India

Held on 20 June 2015

Granules India announced that the Board of Directors of the Company at its meeting held on 20 June 2015, has :

1. approved the alteration in Articles of Association (AoA) of the Company, subject to approval of the members, by adopting regulations in AoA as per the Companies Act, 2013;

2. approved the re-appointment of Harsha Chigurupati as an Executive Director of the Company, subject to approval of the members and the Central Government, for a term of five years with effect from 01 August 2015;

3. approved the issue of 40,95,230 warrants on preferential basis to C. Krishna Prasad, Chairman & Managing Director and promoter of the Company, subject to approval of the members, at a price arrived at in accordance with the SEBI (ICDR) Regulations, 2009.
