Outcome of board meeting of Hit Kit Global Solutions

Hit Kit Global Solutions announced that the Board of Directors of the Company at its meeting held on 27 May 2015, inter alia, have taken on record and approved the following business:

1. To conserve the resources of the Company, the Directors has not recommended any Dividend for the Financial Year ending 31 March 2015.

2. Pradeep Vyas has been appointed as "Company Secretary'" (whole-time Key Managerial Personnel) of the Company with immediate effect, in compliance with section 203(1) of the Companies Act, 2013.

3. Appointment of Company secretary, Pradeep Vyas as "Compliance Officer" of the Company with immediate effect, in compliance with Clause 47(a) of the Listing Agreement.

4. M/s. R. Thanvi & Co., Chartered Accountants has been appointed as "Internal Auditor" of the Company pursuant to section 138(1) of the Companies Act, 2013.

5. M/s. Monika Thanvi & Associates, Company Secretaries, has been appointed as Secretarial Auditor of the Company for the financial year 2014-15 in the place of Virendra Bhatt, Practising Company Secretary, who has expressed his non availability to continue as secretarial auditor of the Company due to his preoccupancy and other commitments.
