Outcome of board meeting of Victoria Mills

Held on 10 February 2015

Victoria Mills announced that the Board of Directors of the Company have at their meeting held on 10 February 2015 have approved the appointment of Puneet Motwani as a Company Secretary forming part of Key Managerial Personnel as envisaged under Section 203 of the Companies Act, 2013 w.e.f. 01 April 2015 in place of Rashmikant K. Shah who has expressed his willingness to retire from the services of the Company due to his ill health.

Also take note that Aditya Mangaldas, the Managing Director of the Company and whose term of office expired on 31 March 2015 has been re-appointed as a Managing Director of the Company for a period of 3 years from 01 April 2015. The above appointment is subject to the approval of members in the ensuing Annual General Meeting.

Further note that the Board during its meeting held on 10 February 2015 has appointed M/s. Nilesh Shah and Associates, Practicing Company Secretaries as Secretarial Auditors of the Company to conduct audit for the year ended 31 March 2015.
