| To begin with, MeritTrac and Tholons will assist the Philippine government in mapping the employable talent pool of the country. |

| With this foray, MeritTrac will get a foothold in one of the largest offshore destinations for business process outsourcing (BPO). |

| Initially, MeritTrac will help Tholons launch various assessment techniques in Philippines and train Tholons staff to implement the tools developed by it. |

| Moving forward, Tholons will be responsible for marketing and sales of MeritTrac's complete suite of assessments. Not only will they represent MeritTrac in Philippines but will also be responsible for the entire delivery of their tests and other services. |
