At board meeting held on 31 December 2014

Mipco Seamless Rings (Gujarat) announced that the Board of Directors of the Company at its meeting held on 31 December 2014, has transacted the following business:

1. Appointment of Sridevi Nadella as woman Independent Director of the Company in terms of 149 of the Companies Act, 2013 and rules made thereunder read with Clause 49 of Listing Agreement.

2. Change in designation of S. M. Patel, Director of the Company from Independent to Non-executive director.
