The move by the corporate affairs ministry to exempt public companies and private firms with a capital of Rs 5 to 10 crore from having a company secretary needs a review. To move and retain India at the forefront of global market, clean, transparent and efficient corporate management is of utmost necessity. A company secretary is the only trained, qualified and efficient professional who can be made accountable and answerable for compliance of statutory and regulatory norms. Their inclusion in small & micro enterprises with less than Rs 10 crore capital would not only encourage and induce the practice of clean and procedural compliant management, but enhance India's image as a professionally-governed economy. Accordingly, this decision warrants reconsideration.
