This is to inform you that in terms of Reg. 32 B of The IBBI (Liquidation Process) Regulations 2016 the Twenth Third meeting of the Stakeholders Consultation Committee of Punj Lloyd Limited is scheduled to be held on 10th December 2025 at 12.00 P.M. at Punj Lloyd Limited Corporate Office Plate No. 2 Second Floor Tower No.2 NBCC Plaza Sector V Pushp Vihar Saket New Delhi - 110017 as well as through Audio and Visual mode to discuss the way forward in the developments taken place in Liquidation process of the Company.

With ref. to Para B of Sec. III of Chap. III of SEBI Master Cir. dated July 11 2023 we would like to inform you that we have informed to the Stock Ex. reg. delay in compilation of Audited / Unaudited Financial results of the Co. since 01.04.2019 till date.We once again reiterate that :1. after disaprroval of lone Resolution plan palced by the RP brfore CoC members the Honble NCLTPBNew Delhi I(NCLT) passed an order dated 27.05.22 ordering Liqudation of the Co. as ging concern with further directons.Further NCLT vide order dated 23.09.25 ordered extn. of the liq. period till 12.03.26. The relevant discl. w.r.t the above said orders and other material info. reg. the dev. in the couse of Liq. process of the Co. have been duly informed to the Stock Exchnage(s) from time to time.2.That due to unavoidable reasons beyond the control of the Co. there is delay in sub. of aud. /unaud. Financial results from 01.4.19 upto the Qrt. ended Sep 25.The detailed reasons are encl. herewith

Pursuant to the relevant Provisions of SEBI (LODR) Regulations 2015 The Scrutinizers Report issued pursant to 31st Annual Generla Meeting of the company held and concluded on 29.10.2025 is enclosed.

The Proceedings of 31st AGM held and concluded n 29.10.2025 are enclosed.

Pursuant to Reg. 30(2) of SEBI (LODR) Reg 2016 (LODR) & in accordance with the req. of Sch. III of LODR we wish to inform you the outcome of the e-voting held in 22nd SCC meting of the Co. held on 13.10. 2025 which is as follows :After the concl. of 14th round of e-auction in process of sale of the Co. on going concern basis under the applicable prov. of IBC 2016 Adani (Infra) India Ltd. had submitted its bid for acquisiton of the Co. on going concern basis and it was declared as the highest bidder. Accordingly the Liquidator of the Co. presented the e-auction results as per Liqu. Regns in the SCC meeting held on 13.10.2025. After deliberation in the meeting a resolution to approve Adani (Infra) India Ltd. as successful bidder was put ot e-vote as per Liqu. Regns. After con. of e-voting period at 5 p.m. on 18.10.2025 Adani (Infra) Ltd. has been declared as the successful bidder. Further developments will be informed in due course of the process of Liq. of Co. on going basis
