Pursuant to Regulation 74(5) of the SEBI(DP) Regulation 2018 please find enclosed the confirmation certificate from RTA of the Company for the quarter ended 31st December 2024

The Trading window of the Company shall remain closed for all Designated Persons of the Company From 1st January 2025 till completion of 48 hours from the announcement/declaration of Un-Audited Financial Statement of the Company for the quarter ended 31st December2024

The board in its Meeting held on 23rd December 2024 has considered and approved the draft Scheme of Amalgamation of V & H Infra Private limited (Transferor Company) with D & H India Limited (Transferee Company).

Pursuant to the provisions of Regulation 30(2) read with clause 7 of Para A of Part A of Schedule III of SEBI (LODR) Regulations 2015 and SEBI Circular No SEBI/HO/CFD/CFDPoD-1/P/CIR/2023/123 dated July 13 2023 we wish to inform you that the Board of Directors upon the Report of the Audit Committee and Independent Directors Committee inits Board meeting of the Company held on Monday 23ld December 2024 has considered and approved the draft scheme of the amalgamation of V & H Infra Private Limited (Transferor Company) with D & H India Ltd. (Transferee Company).

Pursuant to Regulation 30 of the SEBI(LODR) 2015 read with the Para A of Part A of the Scheduled II of the Listing Regulation we wish to inform that Mr. Harsh Vora is being appointed as the Chairman of the Board and the Members Meeting of the company with effect from 10th December 2024
