Submission of Certificate under Regulation 74(5) of SEBI (Depositories and Participants) Regulations 2018 for the quarter ended 31st December 2025.

Pursuant to provision of SEBI(Prohibition of Insider Trading) Regulations 2015 as amended from time to time and Dhanlaxmi Cotex Ltd.s Code of Conduct for Insiders the Trading Window for dealing in securities of the Company shall remain closed for designated Persons (as defined in the Code) including their immediate relatives with effect from 01st January 2026 till 48 hours after the announcement of the Un-Audited Financial Results of the Company for the quarter and nine months ended on 31st December 2025.

In terms of Regulation 30 of SEBI (LODR) Regulations 2015 as amended this is to inform that the Board of Directors held in its meeting today on 18.12.2025 has appointed Mrs. Payal Ankur Bankda (DIN: 09483787) as the Chief Financial Officer of the Company w.e.f. 18.12.2025. Attached is the brief profile of Mrs. Payal Ankur Bankda in term of Circular CIR/CFD/CMD/4/2015 dated September 9 2015 readwith SEBI/HO/CFD/PoD2/CIR/P/2023/120 dated July 112023

In terms of Regulations 30 SEBI (LODR) Regulations 2015 this is to inform that the Meeting of the Board of Directors of the Company was held today on 18th December 2025 Thursday at the registered office of the Company at 3:00 p.m. and concluded at around 04.00 p.m. The Board inter-alia considered and approved the following matters.1. Appointment of Mrs. Payal Ankur Bankda as a Chief Financial Officer of the Company w.e.f. 18th December 2025.2. Take on record resignation of Mr. Rahul Mahesh Jhawar (DIN: 07590581) from the post of Executive Director & Chief Financial Officer of the Company w.e.f. 9th December 2025.Kindly acknowledge the Receipt.
