Pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 we inform you that the Nomination and Remuneration Committee (the Committee) of the Board of Directors of the Company through circular resolution passed on 06th June 2023 has approved allotment of 157371 (One Lakh Fifty Seven Thousand Three Hundred and Seventy One) equity shares of Rs. 2/- each pursuant to exercise of 157371 Stock Options at an exercise price of Rs. 2/- each amounting to Rs. 314742/- (Rupees Three Lakhs Fourteen Thousand Seven Hundred and Forty-Two only) by the option grantees under Greaves Cotton - Employee Stock Option Plan 2020. The said equity shares shall rank pari-passu with the existing equity shares of the Company in all respects. Consequently the Issued Subscribed and Paid-up Capital of the Company stands increased to Rs. 463999938/- comprising of 231999969 equity shares of face value of Rs. 2/- each.
