Pursuant to Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 (Listing Regulations) we are enclosing the Statement of unaudited Financial Results of the Company for the quarter/ half year ended September 30 2025 duly approved by the Board of Directors of the Company at its meeting held on November 12 2025. We also enclose herewith a copy of Limited Review Report of the Auditors of the Company as required under Regulation 33 of the Listing Regulations.

Varun Mercantile Ltdhas informed BSE that the meeting of the Board of Directors of the Company is scheduled on 12/11/2025 inter alia to consider and approve the un-audited Financial Results of the Company for the quarter/half year ended September 30 2025.

The voting results in the format prescribed under Regulation 44 of the SEBI (LODR) Regulations 2015 along with the consolidated Scrutinizers Report on voting through electronic means (i.e. remote e-voting) in respect of the 40th Annual General Meeting of the Company held on Tuesday September 30 2025 are attached.

This is to inform that the trading window for dealing in securities of the Company shall remain closed from October 1 2025 till the expiry of 48 hours after declaration of unaudited financial results for the quarter ended September 30 2025.
