Pursuant to Section 110 of the Companies Act 2013 (the Act) read with the Companies (Management andAdministration) Rules 2014 the Board of Directors of the Company had accorded its approval to conduct a PostalBallot seeking consent of the members of the Company for passing Special Resolution through Postal Ballotas specified in the Postal Ballot Notice dated 23rd March 2023.The Company had appointed Mr. P.N. Parikh or failing him Mr. Mitesh Dhabliwala or failing him Ms. Sarvari Shah of M/s Parikh & Associates Practicing Company Secretaries as Scrutinizer for conducting the Postal Ballot Process. TheScrutinizer has submitted his Report on 5th May 2023.The Special Resolution as set out in the Postal Ballot Notice have been approved by the members of the Companyby requisite majority.
