As per Regulation 15(2) of the SEBI (LODR) Regulations 2015 the compliance with the corporate governance provisions as specified in Regulations 17 17A 18 19 20 21 22 23 24 24A 25 26 27 and Regulation 46(2)clauses (b) to (i) and Para C D and E of Schedule V shall not apply if a listed entity does not have paid up equity share capital not exceeding Rs.10cr. and net worth not exceeding Rs.25cr as on the last day of the previous FY. This is to inform you that pursuant to the Regulation 15(2) of the SEBI (LODR) Regulations 2015 the provisions of the Regulation 23(9) of the SEBI (LODR) Regulations 2015 is not applicable to the Company on account of the paid-up equity share capital of the Company being less than Rs. 10 cr. and net worth of the Company being less than Rs. 25 Cr.as on 31.03.2023. As a result the Company is not required to submit Disclosures of the Related Party Transaction on a consolidated basis as per Regulation 23 (9) of SEBI (LODR) Regulations 2015.
